Indemnity & Research Use Agreement
Aura Labs. Effective as of purchase
By purchasing any product from Aura Labs, the purchaser acknowledges and agrees to the following terms and conditions.
1. Parties
This Agreement is made between you (the "purchaser") and AURA PURE TRADING L.L.C, a Limited Liability Company (Single Owner) registered in Dubai, United Arab Emirates under commercial licence number 1616242 issued by the Dubai Department of Economy and Tourism, whose registered address is Office M56, Naima Hamad Abdulla Al Badr Al Muhairi Building, Naif, Deira, Dubai, United Arab Emirates ("Aura Labs").
2. Research Use Only
All products sold by Aura Labs are supplied strictly for laboratory research and analytical purposes. Products are not intended for human consumption, medical use, therapeutic application, injection, or ingestion. Purchasers represent and warrant that they are acquiring these materials solely for lawful research purposes and in compliance with all applicable laws and regulations.
3. Regulatory Status
Products offered by Aura Labs are supplied as laboratory research materials and have not been evaluated, registered, or approved for human use by the Emirates Drug Establishment (EDE) or any other regulatory authority. The purchaser acknowledges full understanding of this status and accepts responsibility for proper handling and application within a lawful research setting.
4. Assumption of Risk
The purchaser assumes all risks associated with the handling, storage, testing, use, or disposition of any products purchased from Aura Labs. Aura Labs makes no representations regarding fitness for any particular purpose beyond laboratory research.
5. Indemnification
The purchaser agrees to indemnify, defend, and hold harmless Aura Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to the purchaser's use, misuse, handling, resale, distribution, or storage of any products. This indemnification obligation applies whether such claims arise directly or indirectly from the purchaser's actions.
6. Limitation of Liability
Under no circumstances shall Aura Labs be liable for indirect, incidental, special, or consequential damages arising from the purchase or use of any products. Aura Labs's total liability, if any, shall not exceed the purchase price of the product in question.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws and regulations applicable in the Emirate of Dubai. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
8. Acceptance of Terms
By completing a purchase, the purchaser confirms that they have read, understood, and voluntarily agreed to this Indemnity & Research Use Agreement.
